These Service Terms & Conditions (“Terms”) govern the provision of digital marketing and related services by Ordinex Growth (“Ordinex Growth”, “we”, “us”, or “our”) to any client (“Client”, “you”, or “your”).

By purchasing or engaging Ordinex Growth for any service, you acknowledge that you have read, understood, and agreed to these Terms.

1. Services

Ordinex Growth provides digital marketing and related services, which may include:

• Search Engine Optimization (SEO)
• Local SEO
• Google Business Profile Management
• Google Ads / PPC
• Meta Ads
• Social Media Marketing
• Social Media Management
• Social Media Optimization (SMO)
• Content Marketing
• Lead Generation
• Website Design & Development
• WordPress Services
• Branding and Creative Services
• Other digital marketing services agreed with the Client

The exact services, deliverables, scope, and timelines will depend on the package or proposal selected by the Client.

2. Service Scope

Each service will be provided according to the agreed scope of work, package, proposal, quotation, or written communication between Ordinex Growth and the Client.

Any work or requirement outside the agreed scope may be treated as an additional service and may involve additional charges.

Ordinex Growth reserves the right to determine the appropriate strategy, methodology, tools, and workflow required to deliver the agreed services.

3. Service Packages and Pricing

Service packages, pricing, deliverables, and inclusions may vary depending on the Client's requirements.

The applicable price will be the price communicated and agreed upon at the time of purchase or engagement.

Ordinex Growth reserves the right to change its service packages and pricing for future engagements without affecting services already agreed upon unless otherwise communicated.

4. Payment Terms

Unless otherwise agreed in writing, services provided on a monthly basis require monthly advance payment.

The applicable service period will begin after the required payment has been received.

Ordinex Growth may pause or suspend services where payment is overdue.

Any applicable taxes, including GST, may be charged separately where applicable.

5. Advertising Budget

For paid advertising services such as Google Ads and Meta Ads:

• Advertising spend is separate from Ordinex Growth's service or management fee.
• The Client is responsible for paying the advertising budget.
• Ordinex Growth's management fee does not automatically include advertising spend.
• Advertising costs may vary based on the campaign strategy and budget approved by the Client.

The Client understands that advertising performance can vary based on competition, audience, budget, market conditions, platform policies, creative quality, offer, landing page, and other factors.

6. Client Responsibilities

The Client agrees to provide all information, access, materials, and approvals reasonably required to provide the services.

Depending on the service, the Client may need to provide:

• Website access
• Google Business Profile access
• Google Ads access
• Meta Ads / Business Manager access
• Social media account access
• Content, images, videos, logos, and brand assets
• Business and service information
• Product or service details
• Timely approvals and feedback

The Client is responsible for ensuring that the information and materials provided to Ordinex Growth are accurate and lawful.

7. Access and Approvals

The Client must provide required account access and approvals in a timely manner.

Delays in providing access, information, content, approvals, or feedback may affect campaign execution, deliverables, and timelines.

Ordinex Growth will not be responsible for delays caused by the Client's failure to provide required information or access.

8. Results and Performance

Digital marketing results depend on several factors that may be outside the control of Ordinex Growth.

These may include:

• Market competition
• Search engine algorithms
• Advertising platform algorithms
• Budget
• Audience behaviour
• Website performance
• Business pricing and offers
• Client responsiveness
• Industry conditions
• Third-party platform policies

Therefore, unless specifically agreed in a separate written agreement, Ordinex Growth does not guarantee specific rankings, traffic, leads, sales, conversions, revenue, or return on investment.

Any discussion of expected performance should not be interpreted as a guaranteed result.

9. SEO Services

SEO is an ongoing process and results may take time to develop.

Search engine rankings and organic visibility can change due to algorithm updates, competition, website changes, technical factors, and other circumstances.

Ordinex Growth will use reasonable professional efforts and appropriate SEO strategies to improve the Client's search visibility, but specific rankings or business outcomes are not guaranteed unless separately agreed in writing.

10. Advertising Services

For Google Ads, Meta Ads, and other advertising services, Ordinex Growth will manage campaigns according to the agreed strategy and scope.

However, Ordinex Growth does not guarantee:

• A specific number of leads
• A specific cost per lead
• A specific number of sales
• A specific conversion rate
• A specific return on advertising spend
• A specific revenue amount

Campaign performance may change due to factors including platform algorithms, competition, budget, audience, creative assets, offers, landing pages, and market conditions.

11. Social Media Services

For social media management and marketing services, the Client understands that engagement, followers, reach, views, leads, and conversions may fluctuate.

Ordinex Growth does not guarantee a specific number of followers, likes, views, engagement, leads, or sales unless specifically agreed in writing.

Content will generally be prepared according to the agreed brand direction and available information provided by the Client.

12. Content and Creative Services

Where Ordinex Growth creates content, graphics, advertisements, social media posts, website content, or other creative materials, the work will be developed according to the agreed scope and available information.

Client-requested revisions beyond the agreed scope may be treated as additional work and may incur additional charges.

The Client is responsible for providing accurate information regarding its products, services, prices, offers, claims, and business operations.

13. Website Services

For website design, development, WordPress, or related services, the exact scope will depend on the agreed package or project requirements.

Additional features, pages, integrations, functionality, revisions, or third-party services not included in the original scope may require additional charges.

Domain names, hosting, premium themes, plugins, software licenses, paid tools, and third-party services are not included unless specifically stated in writing.

14. Third-Party Platforms

Ordinex Growth may use third-party platforms as part of providing services.

These may include search engines, advertising platforms, social media platforms, hosting providers, analytics platforms, communication tools, or other external services.

Ordinex Growth is not responsible for actions or changes made by such third-party platforms, including:

• Account suspension or restriction
• Advertisement rejection
• Algorithm changes
• Policy changes
• Technical downtime
• Platform outages
• Changes to features or functionality

Ordinex Growth will make reasonable efforts to assist the Client where appropriate.

15. Cancellation

Either the Client or Ordinex Growth may discontinue ongoing services by providing 15 days' written notice, unless a different period has been specifically agreed in writing.

Any outstanding payment obligations applicable before the effective cancellation date remain payable.

16. Refund Policy

Payments may be refundable if the Client requests cancellation before the agreed work or service has started, subject to the circumstances of the engagement.

Once work or services have started, the applicable payment will be non-refundable.

Payments made for third-party advertising platforms, tools, software, hosting, or other external services may be subject to the respective provider's refund policies.

17. Intellectual Property

Upon receipt of full payment, applicable final deliverables specifically created for the Client will belong to the Client, subject to third-party rights, licenses, stock materials, fonts, software, templates, or other materials that are not owned by Ordinex Growth.

Ordinex Growth retains ownership of its pre-existing methodologies, processes, templates, systems, tools, know-how, and internal resources.

18. Client-Provided Materials

The Client confirms that it has the necessary rights and permissions to use any content, images, videos, logos, trademarks, documents, or other materials provided to Ordinex Growth.

The Client will be responsible for any claims arising from materials supplied by the Client that infringe the rights of another party.

19. Portfolio and Marketing Usage

The Client agrees that Ordinex Growth may use completed work, publicly available business information, campaign results, screenshots, designs, and performance results for portfolio, case study, marketing, review, and testimonial purposes.

If specific information is confidential and should not be publicly displayed, the Client should notify Ordinex Growth in writing.

20. Confidentiality

Ordinex Growth will make reasonable efforts to keep confidential business information provided by the Client confidential.

Similarly, the Client agrees not to disclose Ordinex Growth's confidential business information, strategies, proprietary processes, pricing arrangements, or internal materials to unauthorized third parties.

This obligation does not apply to information that is already publicly available or required to be disclosed by law.

21. Service Suspension

Ordinex Growth may temporarily suspend services where:

• Payment is overdue
• Required access has not been provided
• Required information or materials have not been provided
• Client approvals are repeatedly delayed
• The Client materially breaches these Terms
• The requested activity is unlawful or creates significant legal or security concerns

Services may resume once the relevant issue has been resolved.

22. Termination

Ordinex Growth may terminate services where the Client:

• Fails to make required payments
• Repeatedly fails to provide required access or information
• Materially breaches these Terms
• Requests unlawful or fraudulent activities
• Engages in abusive, threatening, or inappropriate conduct

Termination does not remove payment obligations that became due before termination.

23. Limitation of Liability

Ordinex Growth will provide services using reasonable professional care and skill.

However, to the maximum extent permitted by applicable law, Ordinex Growth will not be responsible for indirect, incidental, consequential, or commercial losses arising from factors outside its reasonable control.

This may include loss of profits, revenue, leads, business opportunities, advertising performance, search rankings, or third-party platform actions.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

24. Service Changes

Ordinex Growth may modify its service methods, strategies, tools, processes, or workflows when reasonably necessary to improve service delivery or respond to changes in technology, platforms, or industry practices.

Any material change to the agreed scope or commercial terms will be communicated to the Client where applicable.

25. Agreement With Client

These Service Terms & Conditions form the general terms applicable to services provided by Ordinex Growth.

Where a separate Client Service Agreement, proposal, quotation, or written scope of work is signed or expressly accepted by the Client, the specific terms contained in that document may apply to the extent they differ from these general Service Terms.

26. Changes to These Terms

Ordinex Growth may update these Service Terms & Conditions from time to time.

The latest version will be made available on our website and will apply to future service engagements unless otherwise agreed in writing.

27. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws of India.

Subject to applicable law, disputes relating to these Terms shall be subject to the jurisdiction of the competent courts in Delhi, India.
